Following its divestment from Enthusiast Gaming, Luminosity Gaming is poised to join Vertiqal Studios in a move that expands the latter’s reach across Twitch, YouTube, and other major social platforms. The transaction, part of Enthusiast Gaming’s broader shift to a product-first model, will see Vertiqal acquire Luminosity alongside Omnia Media and related direct sales assets for C$900,000 (approx. US$648,000), with closing expected by 5 September 2025.

Vertiqal, a North American digital-channel network and content studio, highlighted the acquisition as a major step in scaling its cross-platform capabilities. Luminosity’s established Twitch presence, together with Omnia’s YouTube network, provides Vertiqal with immediate scale and diversification across long-form and live-stream content, complementing its existing short-form offerings on TikTok, Instagram, and Snapchat. The acquisition also brings programmatic guaranteed inventory and creator-led marketing opportunities, allowing advertisers and agencies more comprehensive campaign options.

“This acquisition represents a significant step forward for Vertiqal, allowing us to scale with existing customers full-funnel across the digital advertising ecosystem,” said Jon Dwyer, Chairman and CEO of Vertiqal. “We’re not just adding two powerhouse brands; we’re integrating platforms, audiences, and sales capabilities that will redefine our offering in the market.”

Enthusiast Gaming confirmed the deal marks the end of Luminosity’s tenure within its portfolio. The move aligns with the company’s strategy to concentrate on its core, profitable digital properties such as U.GG, Icy Veins, The Sims Resource, and PocketGamer. As of Q2 2025, Luminosity and Omnia were cited as the primary source of losses for the company, making their divestment a critical step in focusing on owned-and-operated platforms.

Luminosity Gaming, a cornerstone of competitive esports in North America, notably won the 2016 CS:GO Major and fielded teams across multiple major titles. Its acquisition by Vertiqal ensures the brand will continue under a new operator, integrating into a broader, multi-platform content strategy.

While Vertiqal’s press release positions the deal as a clear path forward for Luminosity, a previous July Letter of Intent suggested the esports organisation might have been sold to an entity associated with former Enthusiast CEO Adrian Montgomery for $1 million. Montgomery does not appear in Vertiqal’s leadership board, and The Esports Radar has reached out to Vertiqal for clarification on whether the entrepreneur is involved with the company or if the initial LOI fell through.

Under the binding LOI, Vertiqal will assume all liabilities and employee obligations associated with Luminosity and Omnia, with the net liability position of the assets reported at approximately $2.6 million as of June 30, 2025. This acquisition marks a new chapter for Luminosity, as it transitions from an esports organisation under Enthusiast Gaming to a component of a diversified digital media network.

Update: Vertiqal Studios confirms no link to Adrian Montgomery

Vertiqal Studios has clarified that former Enthusiast Gaming CEO Adrian Montgomery is not connected to its acquisition of Omnia Media and Luminosity Gaming.

In a statement to The Esports Radar, Vertiqal clarified the company’s bid for the assets was “mutually exclusive to Mr Montgomery’s offer,” adding that Vertiqal’s proposal was selected over his. The company confirmed it does not work with Montgomery and that he has no connection to Vertiqal Studios.
